  • Harley-Davidson leveraged buyout on the horizon?

Harley-Davidson the Subject of Buyout Rumors
Reuters reported Tuesday that Harley-Davidson might be the target of a leveraged buyout, talk of which sent the company's stock up nearly seven percent to $28.35. By Wednesday, the stock fell to $28.18 while its trading volume was down about 75 percent.

The supposed suitor for H-D is global private equity firm Kohlberg Kravis Roberts (KKR). So far, the buyout talk is unsubstantiated; spokesmen from both KKR and H-D declined to comment on what they called "market speculation."

Financial industry insiders mostly downplayed the buyout "rumors," Reuters reported.

"There's been a rumor a day among a lot of value names for the last week," says Peter Zuger, a mutual fund advisor for Touchstone Mid Cap Value Fund, which owns Harley shares. "I don't know which ones are real and which ones aren't." Due to H-D's cost cutting measures and its current depressed state, it makes sense that a private equity buyer like KKR is interested in the motor company, he says. Zuger's company took advantage of the speculation to pare its H-D holdings.

A leveraged buyout is also known as a "hostile takeover," where the buyer mostly uses debt to purchase another company. Assets of the purchased company can be used as collateral to secure funding.

In other H-D news, the company recently donated $1.4 million in fixtures, tables, flooring, lighting and wall components from its shuttered Buell factory to the Milwaukee Institute of Art & Design, according to The Business Journal of Milwaukee.

If you have not had the opportunity to read the annual report and proxy statement it would appear that the board is trying to set itself up for a leveraged buyout. By making the proposed changes to the classification structure of the board, they are basically setting the company up for a takeover bid. Maybe they (the current board) are looking for a way out before it crashes down on them. Wonder what they know? Seems like that board needs more Enthusiasts ands less businessmen.

I spoke to some at the MOCO and the KKR deal was a hoax perpetrated by a Germany invetsment guy to pump up his stock values. As to other rumours about moving etc. they are not true at this point. They are revamping things across the board to get the company in better finacial and operational shape.
They did an internal audit at York and made a deal with the union to keep things there and have consolidated operations both there and in Wisconsin to make them more efficient and productive. They are closing some facilities in Wis. and consolidating them into other facilites that are under utilized or under capacity. Obviously this is a tough time for any company that is in a recreational/seasonal type product that is basically considered a luxury item.
I think there may be more changes to come especially regarding HDFS but that they are making the hard choices that will enable them to survive. I think the lenght of this bad economy will have more to do with their survival than any particular business practices however they have made some questionable decisions such as shutting down Buell and the purchase and subsequent sale of MV Agusta . Neither seemed to be particularly smart or well timed business moves. Hopefully they are on the right track now!

Has MV Agusta been sold? Who was the buyer? The 2010 F4 got good reviews at masterbike this year, could be a good deal for someone.

The irony of the MV Augusta purchase and now desired sale is that the old Aermachi (spelling?) that H-D sold became part of that group after several subsequent buyers passed it along.

The more things change, the more they stay the same it seems.

I've heard that the MV's are built in the same factory that used to make the little garlic burners, Maybe a bowling ball manufacturer will come to the rescue
